15 Verified Questions on Saudi PPP Business Cases
Is a feasibility or business-case study formally required for a Saudi PPP?
Yes. The Regulations require a detailed study to prepare the Project Document and expressly add affordability and value-for-money analysis for PPP projects. That is why this guide is classified A. Official source: Regulations, Articles 51 and 53
Who prepares the detailed study and Project Document?
Article 51 places responsibility for preparing the Project Document on the work team. Under the Law, the governing rules identify the executive entity responsible for studying and preparing the relevant privatization project. Official source: Regulations, Article 51; Law, Article 2
Do these requirements apply to every Saudi government procurement?
No. They apply to an arrangement that satisfies the statutory PPP definition. The Regulations also state that an infrastructure or public-service project below the applicable minimum is not a privatization project under this framework and follows the laws and regulations relevant to its procurement. Official source: Law, Article 1; Regulations, Article 3
What makes an arrangement a PPP under the Saudi Law?
The Law requires an infrastructure/public-service arrangement with a term of at least five years, two or more specified private-party functions, qualitative and quantitative risk allocation, and remuneration primarily linked to performance. Official source: Private Sector Participation Law, Article 1
What is the regulatory value threshold for a PPP project?
Article 3 sets a SAR 200 million minimum for a PPP project and prescribes how expected nominal value is calculated over the project term. The threshold does not itself establish bidder eligibility or financing capacity. Official source: Regulations, Article 3
What does the detailed PPP study need to cover at minimum?
It addresses objectives, need, baseline, options, the preferred approach, technical/financial/legal/regulatory matters, market capacity, relevant economic/social/environmental/employee effects, risk, contractual relationships, local content, and stakeholder engagement. Official source: Regulations, Article 52
Is affordability analysis mandatory in a PPP case?
Yes. The PPP detailed study must include short- and long-term affordability analysis, including the applicable annual and aggregate impact of commitments and revenues. Official source: Regulations, Article 53(1)
Must the study include value-for-money analysis, and is there one required formula?
Value-for-money analysis is expressly required by Article 53(2). No sufficient official Saudi source was identified to establish a single mandatory formula or target that applies to every PPP project. Official source: Regulations, Article 53(2)
What is the Project Document in the PPP framework?
It is the project record containing the pre-tender detailed study and the project’s technical, financial, legal, regulatory, and other related aspects. Article 58 requires it to be prepared on the detailed study’s results. Official source: Regulations, Articles 1 and 58
When may a PPP project move into tendering?
Approval of the Project Document authorizes progression to tender and applicable procedural work, without displacing other approvals. Implementation requires an approved detailed plan, and RFP work cannot begin before approval of the detailed tender plan. Official source: Regulations, Articles 61–63
Can preliminary approval be sought before the detailed study is complete?
Article 59 permits preliminary approval for certain work if the incomplete aspects, requested work, and completion timetable are identified. An RFP cannot be included among the work approved on that preliminary basis. Official source: Regulations, Article 59
What if core project facts change after the Project Document is approved?
Material new information or actions affecting scope, contractual structure, financial commitments, or expected revenues require the Project Document to be updated and resubmitted for competent-authority approval before the process continues, subject to the Article 58 delegation provision. Official source: Regulations, Article 58(3)–(4)
May a prior PPP Project Document be reused for a new project?
The Supervisory Committee may treat a prior approved Project Document as one for a new project with a similar scope and contractual structure, subject to stated conditions. The earlier approval must be no more than five years old, and the financial, economic, feasibility, affordability, and applicable VfM analysis must be updated. Official source: Regulations, Article 60
Does every private bidder submit the same statutory detailed study?
The reviewed official sources do not establish that every bidder submits the public-side detailed study prepared by the work team. The Regulations distinguish the pre-tender Project Document from the later qualification submission and proposal. A bidder must follow the contents, supporting documents, and format specified in the project RFQ or RFP. Official source: Regulations, Articles 51, 76–78, and 84–85
Is there one mandatory Business Case form for all Saudi PPPs?
No sufficient official Saudi source was identified to establish a single mandatory Business Case form applicable to every PPP project. What is established is the required content of the detailed study and Project Document in the Regulations, followed by the project-specific tender-document requirements. Official source: Regulations, Articles 51–53, 58, and 85
